Thomas L. Totten practices in the area of real estate development and finance representing individuals and private entities, for-profit real estate developers, nonprofit organizations, companies involved in distribution and manufacturing and health care institutions in real property acquisition, disposition, development, leasing, financing, zoning, construction, and land use matters.

In addition, he represents commercial banks and institutional lenders in the modification and restructuring of loans secured by real property and other assets and in portfolio land sales. Mr. Totten also represents underwriters and issuers in tax exempt financings, including the issuance of mortgage revenue bonds, multi-family housing bonds, and 501c(3) bonds, and in municipal leasing and certificate of participation offerings.

Mr. Totten is a director of and general counsel to the Patterson Park Community Development Corporation, a nonprofit organization involved in the redevelopment of the Patterson Park Community in BaltimoreCity. An urban planner for over 11 years before beginning the practice of law, Mr. Totten, was formerly director of housing and community development of the Baltimore Regional Planning Council and Executive Director and president of the Baltimore Regional Community Development Corporation.

The respected English publisher Chambers & Partners cites Mr. Totten in Chambers USA: America's Leading Lawyers for Business, describing him as "an expert on real estate financing and development." In 2008, he was named a Maryland Super Lawyer.

Recent Transactions/Engagements:

  • Representation of national insurance company in sale of property and negotiation of complex development agreements regarding large mixed use development project comprising 91 for-sale residential units, parking and commercial space in Baltimore, MD adjacent to company’s US headquarters.
  • Representation of developer in acquisition and redevelopment of prominent pier in Baltimore, MD as 174 room boutique hotel, including acquisition from Baltimore City, and negotiations with investors, federal, State and City agencies, lenders and operators.
  • Representation of developer in acquisition and development of site in Baltimore, MD as 140 room hotel, including; acquisition from Baltimore City, street closing by the Baltimore City Council, and negotiations with investors and co-developers.
  • Representation of national insurance company, as owner, in master lease and subsequent sale of office building and parking garage in Baltimore, MD containing over 300,000 square feet of floor area, including obtaining approvals from the Baltimore City Council for franchise agreement permitting elevated walkway over public right of way.
  • Representation of developer in acquisition, interim financing and sale of major tract in St. Mary's County, MD for 600 unit residential, commercial and golf course project.
  • Representation of developer in acquisition from regulated utility of multiple parcels of land in Hagerstown, MD comprising over 200 acres for development as a technology park, together with approximately 75,000 square foot office building.
  • Representation of US subsidiary of international aggregates company in miscellaneous sales and leasing transactions throughout the U.S., including, negotiation of 35,000 national headquarters lease in Rockville, MD, sale and leaseback of concrete facility outside of Boston, MA, sale of concrete block manufacturing business and real property assets in South Bend, ID, sale of excess mining property in Brandywine, MD, and acquisition of property for mining and general business purposes in Bladensburg, MD, Charlestown, WV and in Laurel, MD.
  • Representation of owner in negotiations with a major university of a bondable lease and subsequent sale of 200 unit apartment building near Philadelphia, PA for use as student housing.
  • Representation of owner in complex workout of securitized loan and sale of shopping center in Frederick, MD.
  • Representation of steel company in sale of excess manufacturing property in Detroit, MI and Midland, PA.
  • Representation of owner in sale of 111 bed skilled nursing care facility in Delmar, DE.
  • Pro-bono representation of purchaser of membership interests in non-profit company that owns 25 low and moderate income rental units.
  • Representation of owner in negotiation of long term ground lease in Baltimore, MD to be developed by tenant as warehouse space for break-bulk cargo operation.
  • Representation of court-appointed receivership in sale of major shopping mall in Laurel, MD.
  • Representation of secured lender in bankruptcy sale of shipyard in Baltimore, MD.
